These Terms of Use govern your access to and use of heelheidbusiness.com, operated by Heelheid Ventures Studio LLC, a Wyoming limited liability company ("Heelheid," "we," "us," or "our"). By accessing or using this site, you agree to be bound by these terms. If you do not agree, do not use this site.

1. Who May Use This Site

• You must be at least 18 years old to use heelheidbusiness.com or to submit a partnership application, job application, or any other form on this site.
• By using this site, you represent that you have the legal capacity to enter into these terms, and that any information you submit is true, accurate, and your own.

2. What Heelheid Is, and Is Not

Heelheid Ventures Studio is a venture-building studio that partners with founders to build and grow companies. heelheidbusiness.com is our corporate website, used to describe what we do, present our portfolio of ventures, and accept applications from founders and prospective team members.

Submitting a partnership application, a job application, or a message through this site does not create a partnership, a contract, an offer of employment, or any other obligation on our part. Any partnership, engagement, or employment relationship is established only through a separate written agreement signed by both parties.

We do not guarantee that any applicant will be accepted into a partnership or hired for a role, or that any venture, partnership, or engagement will achieve any particular outcome, including financial return, growth, or independence.

3. Applications and Submissions

This section applies to partnership applications, job and contractor applications, and any other business idea, plan, document, or information you submit to us through heelheidbusiness.com ("Submissions").

3.1 Accuracy

You represent that everything in your Submission is true and accurate, and that you have the right to share it with us. Misrepresenting your qualifications, your venture, your traction, or any other material fact is grounds for rejecting your application or, if discovered later, ending any resulting partnership or engagement.

3.2 No confidentiality or exclusivity

We evaluate a large number of applications and ideas, and we may already be aware of, evaluating, or building something similar to what you submit, independently of your Submission. Unless we have signed a separate written confidentiality or non-disclosure agreement with you before you submit, we do not treat your Submission as confidential, and submitting it does not create any confidentiality, exclusivity, or fiduciary obligation on our part. Do not include information in a Submission that you are not comfortable sharing on this basis.

3.3 License to evaluate

By submitting a Submission, you grant Heelheid a non-exclusive, worldwide, royalty-free license to use, reproduce, and internally share that Submission for the purpose of evaluating it, communicating with you about it, and, if we proceed with a partnership or engagement, for the purposes agreed in that separate written agreement. We will not publicly use your Submission or identify you without your consent, except as described in these terms.

3.4 Our discretion

Heelheid reviews every application personally, but we are under no obligation to respond to, accept, or provide feedback on any Submission, and we may decline any application at our sole discretion, for any reason or no reason. We aim to meet the response timelines described on this site, such as 14 days for partnership applications and 7 days for job applications, but these timelines are a target, not a guarantee.

4. Intellectual Property

• All content on heelheidbusiness.com, including text, graphics, logos, images, and the design of the site itself, is owned by Heelheid Ventures Studio LLC or our licensors, and is protected by copyright, trademark, and other intellectual property laws.
• The names and logos of Heelheid, KerlHive, Growth Bootstrappers, OnlineAttorney, and ClipViral are trademarks of Heelheid Ventures Studio LLC or its affiliates. You may not use them without our prior written permission.
• We grant you a limited, revocable, non-exclusive license to access and view heelheidbusiness.com for your own personal or business evaluation of Heelheid, our ventures, our open roles, or a potential partnership. You may not copy, reproduce, republish, scrape, data mine, or create derivative works from this site or its content for any other purpose without our prior written permission.
• If you send us feedback, suggestions, or ideas about heelheidbusiness.com itself, as distinct from a venture or partnership Submission, you grant us the right to use that feedback without restriction or obligation to you.

5. Our Ventures and Third-Party Links

heelheidbusiness.com describes and links to the individual ventures in our portfolio, including KerlHive (kerlhive.com), Growth Bootstrappers, OnlineAttorney, and ClipViral, as well as other third-party sites. Each venture that operates its own website or platform does so under its own terms of use, privacy policy, and business practices, which may differ from these terms. We are not responsible for the content, practices, or availability of any third-party site, including a venture's own platform once you leave heelheidbusiness.com.

6. Acceptable Use

When using heelheidbusiness.com, you agree not to:

• Use the site for any unlawful purpose, or in violation of any applicable law or regulation.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Interfere with, disrupt, or attempt to gain unauthorized access to the site, its servers, or any connected network or service.
• Use any automated system, bot, scraper, or similar tool to access the site or extract its content, except as permitted by a publicly available robots.txt file.
• Upload or transmit any virus, malware, or other harmful code.
• Submit an application or message on behalf of someone else without their knowledge and consent.

We may suspend or terminate your access to heelheidbusiness.com, or decline to process your Submission, if we reasonably believe you have violated this section.

7. Testimonials and Statements

Any founder or client statements, testimonials, or examples referenced on heelheidbusiness.com reflect the individual experience of the people quoted. They are not a guarantee, warranty, or prediction of the results any other founder, partner, or venture will achieve. Past results referenced on this site do not guarantee future performance.

8. Disclaimer of Warranties

heelheidbusiness.com and its content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the site will be uninterrupted, secure, or error free, or that any defect will be corrected. Your use of this site is at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, Heelheid Ventures Studio LLC, and our members, managers, employees, and contractors, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of heelheidbusiness.com or these terms, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or related to these terms or your use of this site will not exceed one hundred US dollars (USD 100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Heelheid Ventures Studio LLC, and our members, managers, employees, and contractors, from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of heelheidbusiness.com, your Submission, or your violation of these terms.

11. Governing Law and Dispute Resolution

11.1 Governing law

These terms, and any dispute arising out of or related to them or your use of heelheidbusiness.com, are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles.

11.2 Agreement to arbitrate

Except as described in Section 11.4 below, you and Heelheid agree that any dispute, claim, or controversy arising out of or relating to these terms or your use of heelheidbusiness.com will be resolved by binding arbitration, rather than in court, administered by the American Arbitration Association under its applicable rules. The arbitration will be conducted on an individual basis only. You and Heelheid each waive any right to a jury trial and any right to participate in a class action, collective action, or representative proceeding.

11.3 Right to opt out

You may opt out of this arbitration agreement by sending written notice to contact@heelheidbusiness.com within 30 days of the date you first accept these terms. Your notice must include your name and a clear statement that you wish to opt out of arbitration. If you opt out, disputes between you and Heelheid will be resolved as described in Section 11.4.

11.4 Exceptions

Either party may bring an individual claim in small claims court instead of arbitration, where that court has jurisdiction. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information. For any dispute not subject to arbitration, you and Heelheid consent to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, and waive any objection to venue there.

12. Suspension and Termination

We may suspend or terminate your access to heelheidbusiness.com at any time, with or without notice, including if we believe you have violated these terms. Sections of these terms that by their nature should survive termination, including Sections 3 through 11, will survive.

13. Changes to These Terms

We may update these terms from time to time. The effective date at the top of this page shows when they were last revised. Your continued use of heelheidbusiness.com after a change takes effect means you accept the updated terms.

14. General

• Entire agreement. These terms, together with our Privacy Policy, are the entire agreement between you and Heelheid regarding your use of heelheidbusiness.com, and supersede any prior agreement on this subject.
• Severability. If any provision of these terms is found unenforceable, the remaining provisions will remain in full force.
• No waiver. Our failure to enforce any provision of these terms is not a waiver of our right to do so later.
• Assignment. You may not assign these terms without our written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.
• No partnership created by use of site. Nothing in these terms or your use of heelheidbusiness.com creates a partnership, joint venture, agency, or employment relationship between you and Heelheid, except as separately agreed in writing.
